Terms of Service (Beta)

Effective date: November 2, 2026 Handoff Network LLC · 5900 Balcones Drive, Ste 100, Austin, TX 78731 · support@handoffnetwork.com

These are our Terms of Service for Handoff's early-access (beta) period. We will update them before general launch and ask you to review and accept the updated version.

1. Agreement

By creating an account or using Handoff (the "Service"), you agree to these Terms of Service and to our Privacy Policy. If you do not agree, do not use the Service. The Service is operated by Handoff Network LLC ("Handoff," "we," "us").

2. Who may use Handoff

The Service is invite-only and is intended only for licensed mental-health clinicians, and their authorized staff, who are 18 or older and hold a current license in good standing. By using the Service, you confirm that this describes you and that you are using the Service in a professional capacity. We may verify eligibility and may suspend or remove accounts that don't qualify.

3. What Handoff is, and what it isn't

Handoff helps clinicians connect, refer, and check availability with one another. Handoff is not a healthcare provider, does not provide clinical services or advice, and is not a party to any relationship between a clinician and a client, or between clinicians, that forms through the Service. We do not vouch for, screen, supervise, or guarantee any member, their credentials, their services, or the outcome of any referral. You are responsible for your own professional judgment, due diligence, licensure, client consent, and legal and ethical compliance.

4. No client-identifying information

Handoff is designed to work without protected health information. You agree not to enter client-identifying information anywhere in the Service — including referrals, notes, messages, and posts — such as a client's name, contact details, date of birth, exact address, or record numbers. Referrals and availability checks must use de-identified criteria only. If you share a client's identity or contact details with another clinician, do it directly, outside of Handoff, through your own compliant channels. Handoff is not a HIPAA business associate and does not enter into business associate agreements for use of the Service.

5. No referral fees

Handoff does not charge for referrals. You may not pay, offer, or accept any fee, kickback, or other compensation in exchange for a referral made through the Service. You agree to make and accept referrals in compliance with all applicable laws and the rules of your profession, including laws that govern referrals to treatment facilities.

6. Price

Handoff is free while it is in Beta. You will not be charged for anything you do on Handoff during Beta.

After Beta, we may charge for some or all of the Service. If we do:

  • you will never be charged unless you choose to sign up for a paid plan and give us a payment method;
  • we will tell you the price and what it includes before you sign up; and
  • we will give you at least 30 days' notice by email before Beta ends or before we start charging for a feature you use.

We will never charge per referral or per placement, and we will never sell a higher place in search results.

7. Your responsibilities

You agree to:

  • provide accurate, current information and keep your license and profile up to date;
  • use the Service professionally and lawfully;
  • get any client consent your profession or the law requires before making a referral;
  • add other clinicians as contacts only using their professional contact information, and only send them availability requests for legitimate referral purposes;
  • keep your account and sign-in links secure; and
  • not misuse the Service.

8. What you may not do

You may not:

  • enter client-identifying information;
  • misrepresent your identity, credentials, or availability;
  • use the Service to harass, spam, or harm anyone, including clinicians who aren't members;
  • scrape, reverse-engineer, or try to get around the Service's security or access controls;
  • share your access with anyone not authorized to use it;
  • use the Service for any unlawful purpose; or
  • interfere with how the Service works.

9. Messages we send

By using the Service, you agree to receive messages needed to operate your account, such as sign-in links and referral and availability notifications, by email and, if you opt in, by text message. Optional messages include a way to unsubscribe, and you can manage your preferences in your account settings. You can stop text messages at any time by replying STOP. Message and data rates may apply to texts.

Handoff member texts cover referrals for you and a weekly availability check. Message frequency varies, about 1–3 per week. Texting is optional, and consent is not a condition of membership. To join, enter your number in member text settings, check the consent box, and reply YES to the confirmation text. Reply HELP for help or contact support@handoffnetwork.com. Reply PAUSE to pause notices for three weeks or RESUME to end the pause sooner. See Handoff text messages for the opt-in steps and controls. Texts never contain client-identifying details.

10. Your content and our property

You keep ownership of the information you submit. You give us permission to use it to operate and provide the Service. The Service itself, including its software, design, and brand, belongs to Handoff. We give you a limited, revocable, non-transferable right to use it under these Terms.

11. Beta service; no warranties

The Service is in an early-access period and may change, have errors, or be unavailable at times. THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. We do not promise that the Service will be uninterrupted, error-free, or secure, or that any referral will lead to a placement or any particular result.

12. Limitation of liability

TO THE FULLEST EXTENT ALLOWED BY LAW, HANDOFF AND ITS OWNERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS ARISING FROM REFERRALS, CLINICAL DECISIONS, OR INTERACTIONS BETWEEN MEMBERS. OUR TOTAL LIABILITY FOR ANY CLAIM RELATED TO THE SERVICE WILL NOT EXCEED THE GREATER OF $100 OR THE AMOUNT YOU PAID US IN THE 12 MONTHS BEFORE THE CLAIM.

13. Indemnification

You agree to defend and hold harmless Handoff and its owners from any claims, losses, or costs arising from your use of the Service, your referrals or clinical decisions, your violation of these Terms, or your violation of any law or anyone else's rights.

14. Suspension and termination

We may suspend or end your access at any time if you violate these Terms, to protect the Service or its members, or if the law requires it. You may stop using the Service and delete your account at any time: choose Delete account from the menu under your profile photo, or email support@handoffnetwork.com and we will do it for you. Deleting an account is permanent. Our Privacy Policy explains what is deleted and the few records we keep.

15. Changes to these Terms

We may update these Terms. We will post the new effective date and, for material changes, notify you and may ask you to accept the updated Terms. Continuing to use the Service after a change means you accept the updated Terms.

16. Governing law

These Terms are governed by the laws of the State of Texas, without regard to its conflict-of-laws rules. Any dispute will be resolved in the state or federal courts located in Travis County, Texas, and you agree to the jurisdiction of those courts.
